  1. Introduction
    The terms on which AWAC Market Place provides you access to and use of our Services are outlined in this User Agreement, the Mobile Application Terms of Use, and all other policies and supplementary terms displayed on and in our websites, applications, tools, and services (collectively, "Services"). An overview of our policies is available here. This User Agreement includes all rules and extra terms stated on and in our Services, as well as the Mobile Application Terms of Use. When using our Services or gaining access to them, you agree to abide by all of the conditions of this User Agreement.
  1. About AWAC Market place
    Users of AWAC Market Place marketplace can offer, sell, and buy items and services in a variety of places using a range of price structures. Neither is AWAC Market Place a traditional auctioneer nor is it a party to agreements for sale between third-party vendors and buyers.

    Any advice AWAC Market Place offers as part of our Services, including regarding pricing, shipping, listing, and sourcing, is entirely advisory; you are free to follow it or disregard it. Through a number of services, we could assist in facilitating the resolution of conflicts between buyers and sellers. AWAC Market Place has no control over and makes no guarantees regarding the following, unless expressly stated otherwise: the existence, quality, safety, or legality of the advertised goods; the truth or accuracy of users' content; the ability of sellers to sell goods; the ability of buyers to pay for goods; or that a buyer or seller will actually complete a transaction or return a good.
  1. Using AWAC Market Place
    You undertake to abide by all applicable laws, rules, and regulations in connection with using or accessing our Services, including this User Agreement, our policies, and our conditions, and you won't:
    • Use our Services if you are unable to form legally binding contracts (for instance, if you are under 18 years old), are temporarily or permanently suspended from using our Services, or are a person with whom transactions are prohibited by economic or trade sanctions;
    • Violate or work around any laws, rules, third-party rights, or our systems, Services, policies, or determinations of your account status;
    • If the seller has materially changed the item's description after you placed a bid, for example, failing to pay for products you have purchased unless you have a valid cause as specified in an AWAC Market Place policy.
    • Fail to deliver the goods you've sold, unless you have a legitimate excuse allowed by AWAC Market Place rules, manipulate the price of any item or interfere with the listings of any other user.
    • Take any action that could damage the ratings or feedback systems (in accordance with our Feedback Policy);
    • Share your log-in information with any third parties; transfer your AWAC Market Place account (including feedback) and user ID to another party without our permission. We provide a Multi-User Account Access service if you need to grant authorized third parties (workers, agents, etc.) access to your account.
    • Create listings, post, or upload content in unsuitable categories or areas on our websites; Post false, untrue, misleading, deceptive, or libelous content; Distribute or Post Spam, Unsolicited or Bulk Electronic Communications, Chain Letters, or Pyramid Schemes; Distribute Viruses or Any Other Technologies That May Harm AWAC Market Place or the Interests or Property of Users.
    • Use a robot, spider, scraper, data mining tool, data gathering and extraction tool, or any other automated method to access our services without AWAC Market Place express prior authorization.
    • Any technical safeguards put in place to deliver our services.
    • Interfere with the operation of our Services, for example by placing an abnormally heavy or unreasonable strain on our infrastructure.
    • Export or re-export any AWAC Market Place application or tool except in accordance with applicable export control laws, rules, and policies.
    • Violate any of AWAC Market Place or its licensees' copyright, trademark, patent, publicity, moral, database, and/or other intellectual property rights (collectively, "Intellectual Property Rights"). Reproducing, performing, showing, distributing, duplicating, reverse engineering, decompiling, disassembling, or creating derivative works using content that belongs to AWAC Market Place or another party are some, but not all, actions that may be considered infringement.
    • Post content that is not your own, violate any intellectual property rights of third parties whose rights are infringed by your use of our services, commercialize any AWAC Market Place applications or any information, data, or software associated with such applications without AWAC Market Place prior express permission, or harvest or otherwise collect or use user information without their consent.
    • If you don't adhere to these requirements, AWAC Market Place may charge you extra fees, limit, restrict, suspend, or downgrade your seller account.

      We reserve the right to limit, suspend, or terminate your user account(s) and access to our Services, delay or remove hosted content, remove any special status connected to your account(s), remove, not display, and/or demote listings, reduce or eliminate any discounts, and take technical and/or legal measures to prevent you from using our Services if we believe you are abusing AWAC Market Place and/or our Services in any way.

      If we suspect that you are breaking our rules against making offers to buy or sell items outside of AWAC Market Place, you may face a number of consequences, including limitations on your ability to buy and sell items, restrictions on listings and account features, account suspension, the imposition of fees, and the recovery of costs associated with policy monitoring and enforcement. Additionally, as stated in the Fees and Taxes section below, you can be assessed final value fees if we think you are transgressing our rules for buying or selling outside of AWAC Market Place.
  1. Policy Enforcement
    When a buyer or seller issue arises, we may apply our policies while taking into account the user's past performance and the particular circumstances. In an effort to be fair to buyers and sellers, we can decide to be less strict with rules enforcement. The aforementioned does not limit or otherwise affect our freedom to refuse, alter, or discontinue all or a portion of our services to anybody, or to end this agreement with anyone for any reason.
  1. Fees and Taxes
    For using our Services, we charge sellers. In rare circumstances, we may also charge the buyer for the extra services they get, such as verification services for items belonging to specific categories.

    Our Selling costs pages include a list of the fees we charge sellers for using our services. We reserve the right to modify our selling fees at any time by posting the modifications fourteen (14) days in advance on the AWAC Market Place website. Temporary promotions and changes that result in lower fees, however, are not subject to this requirement.

    Even if the terms of the transaction are settled or payment is made elsewhere, if you are a seller, you are responsible for all fees associated with sales conducted utilizing some or all of our Services. In particular, if you provide or make reference to your contact information or request that a buyer provide it when buying or selling outside of AWAC Market Place, you may be responsible for paying a final value fee that applies to that item, even if it doesn't sell, because you used our Services to connect with a buyer.

    We or the AWAC Market Place Payment Entities may take payment from you using the payment method on file in any jurisdiction where AWAC Market Place is required to collect sales taxes on purchases you make using our Services.

    Selling costs do not buy the right to display an item only once on our services. In our sole discretion and without the sellers' permission or payment, fee reduction, or other form of credit, we may display third-party advertisements (including links and references thereto) or other content in any area of our Services, including your listing.
  2. Listing Conditions

    You agree to abide by AWAC Market Place listing policies and selling practices policy when you offer something for sale on our services. You also agree with that.

    You accept full responsibility for the item being provided, the truthfulness of the listing, and its contents.

    It can take many hours before your listing appears in a keyword or category search (or up to 24 hours in some circumstances). The precise listing duration on AWAC Market Place is not guaranteed.

    Until all quantities sell or the listing is terminated by you or AWAC Market Place, in its sole discretion, the content you provide complies with all of our listing policies, including the Images, videos, and text policy. Your fixed-price listings may renew automatically every calendar month, depending on the listing terms in effect at the time.
    We may update product information linked to listings in order to add to, remove from, or amend information. Our goal is to provide a marketplace where customers can find what they're looking for. As a result, a number of variables, such as the buyer's location, search query, browsing site, and history, the item's location, listing format, price and shipping cost, terms of service, end time, history, and relevance to the user query, the seller's history, including listing practices, Detailed Seller Ratings, AWAC Market Place policy compliance, feedback, and defect rate, as well as the quantity of listings, will all affect how listings appear or are ranked in search and browse results.

    Regardless of the buyer's preferred sort order, a listing may not show up in some search and browse results in order to promote a favorable user experience.

    Only some of our services will display some advanced listing enhancements, and AWAC Market Place policy on duplicate listings may have an impact on how well your listing performs in search results.

    A listing's URL links and meta descriptions may be changed or removed.

    We could provide you some optional suggestions to take into account when making your listings. These recommendations might be based on the combined sales and performance history of comparable sold and/or active listings; individual listing results may differ. You accept that we may display the sales data in order to power the recommendations experience.

    AWAC Market Place may mandate the use of specific payment methods for items listed in specific categories, subject to specific programs, and/or offered or sold at specific price points, subject to our Payments methods policy. You will not sell and will immediately remove all listings for any product recalled by a manufacturer or governmental agency if the sale of the product is prohibited by law or regulation or if the product poses a health or safety hazard as specified by any governmental agency, for instance, for inventory covered by authentication services, buyer and sellers may be subject to escrow and/or payment handling requirements. When you list or sell a product using our Services, AWAC Market Place assumes no liability or responsibility for that product's performance or safety.

    On the websites or in the applications, services, or tools of other AWAC LLC. corporate family members or cooperating third-party operators of websites, applications, services, and tools, AWAC Market Place may publish and promote your listings, along with related content like username, product reviews, and feedback.
    1. Purchase Conditions:
    • Using our services to make a purchase constitutes your acceptance of the following terms and conditions:
    • Before placing a bid or making an offer, purchasing, or committing to purchase, you are responsible for reading the whole item listing.
    • When you commit to buying anything, make a purchase, have your offer approved, or place the highest bid, you enter into a contract that is legally obligated to buy that thing (or your bid is otherwise accepted),
    • A bid or offer for a car or piece of real estate begins a non-binding process that expresses the buyer's sincere interest in purchasing the item, but it does not result in a binding agreement between the parties.
    • Unless the buyer and seller agree differently, Utah Code Annotated 70A-2-401(2) and Uniform Commercial Code 2-401(2) apply to the transfer of ownership between the buyer and the seller. We do not transfer the legal ownership of the goods from the seller to you.
    1. International Buying, Selling, and Shipping; Translation
      Due to the nature of AWAC Market Place worldwide marketplace, buyers from all over the world can view, buy, and have listings shipped to them. Many of our services are available worldwide. For example, we provide approximated local currency conversion and tools for calculating international shipping costs for sellers and customers who are located outside of the United States. All laws and rules governing the sale, purchase, and shipment of goods internationally must be complied with by both buyers and sellers.

      If you are a seller, you consent to our right to use your shipping preferences to offer your listing for sale on an AWAC Market Place site other than the one where you originally posted it. These parameters can be changed as described in the international selling policy. The visibility of your listings outside of the listing site is not guaranteed if you want to provide foreign shipping for your items. You are subject to the User Agreement and related policies, including any buyer protection programs, of that other AWAC Market Place site with regard to that specific sale if you sell something on it rather than your registration or listing site.

      You give us permission to utilize automated methods to fully or partially translate member-to-member communications and your AWAC Market Place content into local languages where such translation services are offered. Upon your request, we might give you access to the tools you need to translate content. Any translation's availability and correctness cannot be guaranteed.

      You agree that Pitney Bowes Inc. and its affiliates, service providers, and other third parties (such as customs and revenue authorities and other governmental agencies) may share certain personally identifiable information, including listing and order information, with AWAC Market Place in connection with the processing, export and customs clearance, and international transportation of any item. You are subject to the privacy policies of Pitney Bowes Inc., its affiliates, and its service providers, as applicable; AWAC Market Place has no control over these policies.
    1. Content
      You grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub licensable (through multiple tiers) right to use any and all intellectual property rights in the content you submit using our Services (directly or indirectly) in connection with our provision of, expansion of, and promotion of our Services, in any media now known or hereafter developed. You give up your right to sue AWAC Market Place, our assignees, our sublicenses, and their assignees for infringement of your intellectual property rights in connection with our use of that content in connection with the provision, growth, and promotion of our Services to the fullest extent permitted by applicable law.

      You affirm and warrant that you possess or otherwise have full power and authority to do as you have stated in this User Agreement with respect to all such content. You affirm and guarantee the veracity of the said content. You guarantee that any use of the content (including derivative works) by us, our users, or third parties working with us in accordance with this User Agreement does not and will not violate any third party's intellectual property rights. In relation to any content that you or any third party submit, AWAC Market Place disclaims all liability.

      We give third-party-provided product data, such as photos, descriptions, and specifications (including AWAC Market Place users). Only your AWAC Market Place listings may use that content. In its sole discretion, AWAC Market Place has the right to change or cancel such permission at any time. Copyrighted, trademarked, and other proprietary items are included in the product data. You consent to leaving all copyright, proprietary, and identifying marks on the product data and to refrain from using it to inspire any derivative works.

      We make an effort to provide accurate product information, but we can't guarantee that it will always be accessible, true, whole, and current. You acknowledge that AWAC Market Place does not review or endorse any listings or other content posted by users of our Services, and you agree not to hold AWAC Market Place or our data suppliers accountable for errors.
    1. Notice for Claims of Intellectual Property Violations and Copyright Infringement Pursuant to Section 512(c) of Title 17 of the United States Code
      In accordance with the United States Digital Millennium Copyright Act, we react to complaints of alleged copyright infringement. The Verified Rights Owner (VeRO) program at AWAC Market Place aims to guarantee that goods and material used in connection with our services do not violate third parties' copyright, trademark, or other intellectual property rights. Please inform our VeRO team if you think your intellectual property rights have been violated, and we will look into it.

    1. Additional Terms

      Returns and cancellations for sellers
      Under specific conditions, sellers can set up procedures to automate replacements, returns, and refunds. AWAC Market Place will implement a default rule that automates the return procedure for all new sellers in listings where returns are permitted. Within My AWAC Market Place account options, sellers can modify or remove their return choices. An AWAC Market Place-generated return shipping label will be given to your buyer in cases where settings. When an item is returned or if a transaction is canceled after payment has been completed, AWAC Market Place may issue a refund to the buyer on the seller's behalf and charge the seller for the amount of the refund.
      Additionally, AWAC Market Place may charge sellers for the cost of return shipping labels and/or other reasonable fees from sellers when: have been set up to automatically accept requests for returns or replacements.
    • An AWAC Market Place-generated return shipping label is used, and the seller is responsible for its cost.
    • Returns have been automated.
    • The seller fails to send the buyer a return shipping label and, instead, an AWAC-generated shipping label is used; and/or
    • The item is not as described in the listing and is returned in accordance with AWAC Market Place Money Back Guarantee or other applicable terms.

      Returns and cancellations for buyers:
      Buyers generally do not have the right to cancel an order. Buyers can request to cancel an order on AWAC Market Place within the time period and as provided in our Order cancellation policy, and the seller will have 3 days to accept or decline the request. If the order cannot be canceled, buyers may still be permitted to return the item if the item is eligible for return.

      In some cases, the cost of return postage for an item sent back to the vendor may fall on the buyer. The buyer can choose to utilize a shipping label supplied by AWAC Market Place or buy a shipping label directly from a carrier if the buyer is paying for the return shipping charges. You (the buyer) consent that AWAC Market Place may remove the cost of the mailing label from the refund due to you by electing to utilize an AWAC Market Place-generated shipping label.

      AWAC Market Place Money Back Guarantee:
      The majority of AWAC Market Place transactions are straightforward, but if there is a problem, purchasers can get their money back under the AWAC Market Place Money Back Guarantee if the item didn't arrive, is defective or damaged, or doesn't match the ad. You consent to abide by the policy and grant us the right to make the ultimate call in any AWAC Market Place Money Back Guarantee dispute. According to the Payments Terms of Use, AWAC Market Place or AWAC Market Place Payments Entities may invoice you for the amount of the reimbursement or take payment from you if you (the seller) decide to repay a customer or are compelled to do so under the AWAC Market Place Money Back Guarantee. If you are unable to pay us back, we may use various collection practices, such as hiring collection agencies, to recover the unpaid amounts.

    1. Payment Services
      According to the Payments Terms of Use, specific AWAC Market Place businesses (each a "AWAC Market Place Payment Entity") enable payments for goods and services sold using our Services. To the extent that they apply to you, you accept the Payments Terms of Use. You must accept and abide by the Payments Terms of Use, which include the obligations to give the AWAC Market Place Money Entities information about you, your business, and the bank account you will use to receive payments, in order to receive payment for an item sold using our services.
      Payment Services:
      If you're a consumer:
    • The AWAC Market Place Payment Entities' payment methods are accepted for the purchase of goods and services, and they will handle settlement of the payment to the sellers. You give the AWAC Market Place Payment Entity permission to start payments using the payment method you've chosen and collect the transaction amounts on the seller's behalf when you make a purchase using our Services. As a result, any payments made by you to the AWAC Market Place Payment Entity will fulfil your duty to reimburse the seller for the sum of any payments made.
    • In certain instances, your transaction may be declined, frozen, or held for any reason including for suspected fraud, AML compliance, compliance with economic or trade sanctions, in connection with AWAC Market Place internal risk controls or due to potential violations of any policy of AWAC Market Place or the AWAC Market Place Payment Entity, or a policy of one of the Payment Entity's third-party payment services providers.
    • When you make a purchase, redeem a coupon, or conduct any other transaction on our Services requiring the entry of credit card information, AWAC Market Place, the AWAC Market Place Payment Entity, or its affiliates may save payment information, such as credit card or debit card numbers, and card expiration dates, entered by you on our Services. You could choose to utilize this saved payment information as your default payment method for upcoming transactions on our Services. You can change your card information at any time, and the new card information you input will then be saved as your default payment method. Through the Personal Information section of the Account tab in My AWAC Market Place, you can modify your default payment method.
    • You can use our Services to request refunds, cancellations, or make AWAC Market Place Money Back Guarantee claims. If the AWAC Market Place Payment Entities handled the initial payment and you are eligible for a refund, the AWAC Market Place Payment Entities will issue the refund. Depending on the policies of third parties, such as credit and debit card networks, the timing of refunds may change.
    • In connection with the usage of the services offered by the AWAC Market Place Payment Entities, you agree to abide by all applicable laws, rules, regulations, and terms and conditions and not cause a third party to do so. You are aware that specific third parties, including credit and debit card issuers, networks, and payment service providers, may have their own rules and regulations regarding the payment or settlement methods you select to utilize in connection with managed payments transactions. You might be charged if you don't follow the terms and conditions of a third party.
    1. Disclaimer of Warranties; Limitation of Liability:
      Our Services are intended to be reliable, secure, and functional, but we cannot ensure their accessibility or continued operation. It's possible that real-time bid updating and other notification functions in AWAC Market Place applications won't happen. Such a feature is susceptible to interruptions outside of AWAC Market Place control.

      You acknowledge that our Services are offered to you "AS IS" and "AS AVAILABLE" and that you use them at your own risk. In light of this, we disclaim all express and implied promises, terms, and conditions, including but not limited to the implicit promises of merchantability, fitness for a specific purpose, and non-infringement, to the fullest extent permissible by applicable law.

      Additionally, to the fullest extent permitted by law, under no circumstances will AWAC Market Place (including our parent, subsidiaries, and affiliates, as well as our and their officers, directors, agents, and employees) be liable to you or any third party under any claim at law or in equity for any consequential damages or losses (including, but not limited to, loss of money, goodwill or reputation, profits, other intangible losses, or any special, indirect, or consequential damages), and all such damages are cumulative and not individual.

      Without limiting the generality of the aforementioned, you agree not to hold us accountable for any damages or losses (including, but not limited to, loss of money, goodwill or reputation, profits, other intangible losses, or any special, indirect, or consequential damages) resulting directly or indirectly from:

      our Services' delays or interruptions; viruses or other harmful software obtained by accessing or linking to our Services; any glitches, bugs, errors, or inaccuracies of any kind in our Services; harm to your hardware device from use of any AWAC Market Place Service; the content you provide (directly or indirectly) using our Services; your use of or inability to use our Services; pricing, shipping, format, or other AWAC Market Place guidance; a suspension or other action taken with respect to your account or breach of the Using AWAC Market Place Section above; the duration or manner in which your listings appear in search results as specified in the Listing Conditions Section above; your need to modify practices, content, or behavior; or your loss of or inability to conduct business, as described in the Listing Conditions Section above.
    1. Release
      You agree to release us (along with our affiliates, subsidiaries, and each of our and their officers, directors, employees, and agents) from any and all claims, demands, and damages (actual and consequential), known and unknown, resulting from or connected in any way to disputes with one or more users. By consenting to this release, you expressly renounce any legal or other protections that may otherwise restrict its application to only those claims that you may know about or suspect to exist in your favor at the time this release is signed.
    1. Indemnity
      You agree to defend and indemnify us against any claim or demand, including reasonable legal fees, made by any third party due to or arising out of your violation of this User Agreement, your improper use of our Services, or your violation of any law or the rights of a third party. This includes us and all of our affiliates and subsidiaries as well as our and each of their officers, directors, employees, and agents.
